See my previous post about losing the weight. You cannot bulk and lose fat at the same time. One or the other! As for a good choice of exercises. If your a new, stick to the basics. Such as Curls, Bench Press, Shoulder Press, Pull-ups, Chin-ups, Bent Over Rows (if you cannot do either of the last two), Deadlifts, Squats (I know you said upper body, but I hope your working out the legs as well. The more muscle you put on the more fat you burn) Calf Raises. Am I missing something? Anyone? EAT MORE and I bet the headaches go away.

Yea I am working on legs also but I have never had a problem building them up for some reason. My main conerns were the icky feeling after work outs and the other was how to reduce that ring of fat from stomach and lower back.

So what is being said is work out to build muscle, cut out the (Fat loss diet) and focus on mass and the fat will drop? How bout walking also mixed in?

While working out is whey and good way to go?

Remember though you will not lose the fat as fast as if you were dieting for it but yes you have it right. As for the walking you reminded me about an interesting point...CARDIO, one or two days a week sure take a walk. I would much rather see running or biking. Something that will get the heart rate up. Whey protein? Sure, any good quality source of protein will do just fine. Remember though try to get good protein from whole foods as much as possible. Eat throughout the day to keep the metabolism up. Your on your way. Keep us posted with you progress.
